Terms of Use

The terms that govern access to and use of the Fingrid.ai website, applications, APIs, AI-powered features and related services operated by Inforvio Technologies.

1. Acceptance of Terms

These Terms of Use (“Terms”) govern access to and use of the Fingrid.ai website, applications, APIs, AI-powered features, document-processing tools, voice services and related products operated by Inforvio Technologies Private Limited (“Inforvio”, “we”, “our” or “us”).

By accessing or using the website or a service, you agree to these Terms. If you do not agree, do not use the relevant service.

If you use Fingrid.ai on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf. Customer-specific agreements may supplement or override these Terms for the relevant contracted service.

2. Description of Services

Fingrid.ai may provide technology and software capabilities such as:

  • AI-assisted document processing and information extraction.
  • OCR and document analysis.
  • Lending workflow and application-processing support.
  • AI conversation and session features.
  • Voice, speech-to-text and text-to-speech functionality.
  • APIs, integrations, reporting and technical support.

The availability of specific functions depends on the subscribed product, customer agreement, permissions, configuration and deployment.

We may modify, improve, suspend or discontinue features in accordance with applicable law and any applicable customer agreement.

3. Eligibility and Authorised Use

You may use the services only if you have the legal capacity and authority to do so.

You agree to:

  • Provide information that is accurate to the best of your knowledge.
  • Use the services only for lawful and authorised purposes.
  • Maintain the confidentiality of your credentials.
  • Use only accounts, records and resources you are authorised to access.
  • Comply with applicable laws, customer policies and contractual restrictions.
  • Promptly report suspected unauthorised access or security issues.

You must not use the services to violate another person's rights or applicable law.

4. Account Security and Access

Where authentication or user accounts are provided, you are responsible for safeguarding your credentials and notifying the relevant administrator or Inforvio of suspected compromise.

Access may be subject to role-based permissions, tenant restrictions, IP allowlisting and other controls configured for the relevant environment.

You must not attempt to bypass authentication, access controls, tenant separation or technical restrictions. We may suspend or restrict access where reasonably necessary to protect the services, users, customers or systems, subject to applicable agreements and law.

5. Customer Data and Authorisation

“Customer Data” means information, documents, prompts, audio, records or other content submitted to, generated through or processed by the services on behalf of a customer or user.

You represent that you have the necessary rights, permissions and authority to submit Customer Data and instruct its processing.

You must not upload or transmit personal data, confidential information, copyrighted material or regulated information unless you are authorised to do so and the intended processing is lawful.

Where you act for a lender or another organisation, you are responsible for following that organisation's instructions, access policies and data-handling requirements.

6. Artificial Intelligence and Output Limitations

The services may generate outputs using AI models, OCR, speech recognition, automated extraction and other statistical or machine-learning techniques.

You acknowledge that:

  • AI-generated content may be inaccurate, incomplete, inconsistent or out of date.
  • OCR and document extraction may misread information.
  • Transcriptions may omit, misinterpret or incorrectly attribute spoken words.
  • AI outputs may require verification against the original source.
  • Outputs may vary based on the input, model, configuration or provider.

You are responsible for reviewing outputs before relying on them.

Unless expressly agreed in a written contract, the services do not provide legal, tax, investment, medical, credit or other regulated professional advice. They do not replace human review, independent verification or required regulatory decision-making.

Customers remain responsible for decisions made using service outputs, including lending, eligibility, risk, compliance and customer-treatment decisions.

7. Acceptable Use

You must not:

  1. Use the services for unlawful, fraudulent, deceptive or harmful activities.
  2. Access or attempt to access another user’s, customer’s or tenant’s data without authorisation.
  3. Circumvent authentication, rate limits, network restrictions or security mechanisms.
  4. Upload malware or content intended to disrupt systems or compromise security.
  5. Probe, scan, test or exploit the services without prior written authorisation.
  6. Reverse engineer, decompile or attempt to extract source code or model internals except where applicable law permits such activity.
  7. Interfere with the availability, integrity or performance of the services.
  8. Use the services to infringe intellectual property, privacy or other legal rights.
  9. Submit personal data or confidential information that you are not authorised to disclose.
  10. Use the services in a manner that violates applicable laws, regulatory requirements or contractual restrictions.

Nothing in this section prohibits security testing that Inforvio has expressly authorised in writing and that is conducted within the agreed scope.

8. Third-Party Services

The services may integrate with or depend on third-party providers, including cloud infrastructure, AI models, voice and transcription systems, maps, notification services and other APIs.

Third-party services may be subject to separate terms, availability limits, technical requirements and privacy practices. Their availability and functionality may change independently of Inforvio.

Where third-party terms apply to your use, you agree to comply with those terms. Inforvio is not responsible for the independent acts or omissions of third-party providers to the extent permitted by law and subject to applicable contractual obligations.

9. Privacy and Personal Data

Your use of the services is also governed by the Fingrid.ai Privacy Policy and any applicable customer-specific privacy notice or data-processing agreement.

You acknowledge that certain service functions may require data to be processed by cloud, AI, speech or other third-party providers.

You must not use the services in a manner that violates applicable privacy or data-protection laws. If you process personal data through Fingrid.ai on behalf of an organisation, you are responsible for ensuring that you have appropriate authority and instructions.

Where Inforvio processes personal data on behalf of a customer, the parties' applicable written agreement will govern the relevant processing responsibilities.

10. Intellectual Property

Unless otherwise stated in a written agreement, Inforvio and its licensors retain their rights in the Fingrid.ai website, software, APIs, platform, branding, documentation, design, underlying technology and related intellectual property.

Subject to these Terms and any applicable customer agreement, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the services for their intended purpose.

You retain rights that you hold in Customer Data, subject to the rights and permissions necessary for us and our providers to process that data to deliver the services.

You must not use Inforvio's name, logos or branding in a way that implies endorsement or affiliation without prior written permission.

11. Confidentiality

Where you receive confidential information through the services, you must protect it from unauthorised disclosure and use it only for the purpose for which it was provided.

Confidentiality obligations under a separately signed agreement will continue to apply and will take precedence where the agreement expressly governs the relevant information.

12. Fees and Subscription Terms

Where a service is provided under a paid subscription, quotation, statement of work or other commercial agreement, the applicable fees, payment terms, usage limits and renewal conditions will be specified in that agreement.

Unless expressly agreed otherwise in writing, these Terms do not establish a price or subscription commitment for a particular service.

13. Availability, Maintenance and Changes

We aim to provide reliable services but do not guarantee uninterrupted or error-free availability.

The services may be unavailable or degraded due to maintenance, upgrades, network failures, third-party outages, security incidents, force majeure events or other circumstances beyond our reasonable control.

Where a customer agreement contains service-level commitments, those commitments will govern the applicable service.

14. Suspension and Termination

We may restrict, suspend or terminate access where reasonably necessary because of a material breach of these Terms, unlawful use, security risks, non-payment under an applicable agreement, or a requirement imposed by law.

Where reasonably practicable and legally permitted, we will provide notice and an opportunity to address the issue.

Upon termination, your right to use the relevant services ends. Handling, export, retention or deletion of Customer Data will be governed by the applicable agreement, the Privacy Policy and applicable law.

15. Disclaimers

To the extent permitted by applicable law, the services are provided on an “as available” basis.

We do not warrant that every output will be accurate, complete, reliable or suitable for every purpose, or that the services will be uninterrupted, secure in every circumstance or compatible with every third-party system.

Nothing in these Terms excludes a warranty, representation or right that cannot lawfully be excluded under applicable law.

16. Limitation of Liability

To the extent permitted by applicable law, Inforvio will not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the services, including loss of profits, business opportunities, goodwill or data, subject to any non-excludable legal obligations and the terms of any applicable customer agreement.

Nothing in these Terms limits liability where such limitation is prohibited by law. Any contractual liability cap, exclusion or allocation of risk agreed in a separate customer agreement will apply according to that agreement.

17. Indemnity

To the extent permitted by applicable law, you are responsible for claims, losses and expenses arising from your unlawful use of the services, your unauthorised submission of data, your infringement of third-party rights or your material breach of these Terms.

This section does not apply to the extent a claim results from Inforvio's own breach, negligence or other conduct for which liability cannot lawfully be excluded or transferred.

18. Changes to These Terms

We may update these Terms to reflect changes to the services, business operations or applicable law.

The updated Terms will be published with a revised “Last Updated” date. Where required by law or an applicable agreement, we will provide notice or obtain acceptance before changes take effect.

19. Governing Law and Disputes

These Terms are governed by the laws of India, subject to applicable conflict-of-law rules.

Disputes will be addressed in accordance with any applicable customer agreement. Where no separate dispute-resolution arrangement applies, the competent courts having jurisdiction over Inforvio's registered office, subject to applicable law, will have jurisdiction.
